Company director pleads not guilty to making false statements

KUALA LUMPUR: A company director pleaded not guilty at the Bangi Sessions Court to charges to making false statements under Section 591(2)(a) of the Companies Act 2016.

"The accused, Mohd Latip Ahmad, had allowed a company secretary to make a false statement regarding material details in SNR Aircond Services & Accessories Sdn Bhd's 'Notification of Alteration or Amendment to Constitution' on Oct 30, 2019," the Companies Commission of Malaysia (SSM) said in a statement today (June 23).

This document is required under Section 36 of the Companies Act 2016 (Act 777). The alleged false statement relates to the amendment of Clause 5 of the Articles of Association of the company.

"However, the accused pleaded not guilty and requested for the case to be heard after the charge was read.

"Judge Tuan Effendi Nazila Abdullah has ordered bail of RM6,000 to be imposed on the accused with one surety in addition to setting a date of July 11 for the case to be mentioned again for document submission," said SSM.

Section 591(2)(a) of the Companies Act 2016 provides for up to 10 years' jail or a fine not exceeding RM3 million, or both, upon conviction.

The prosecution was handled by SSM prosecuting officer Amir Sharifuddin Hashim, while the accused was represented by lawyer Muhammad Nazmi Hanafi.

SSM reminded the public to ensure that information submitted to the commission was accurate and up to date.

SSM said individuals found to have provided false or misleading statements, information or reports to the commission would be prosecuted.

"SSM remains consistent in overseeing compliance with legal provisions it administers, as well as ensuring that the corporate community is sensitive to business responsibilities and ethics," it said.
